Project Specification
Our partners and associates use their best endeavours to execute an assignment in accordance with your aims as our client. You recognise, as we do, that needs sometimes develop which were not apparent at the outset and, conversely, that progress may be achieved more quickly than was initially anticipated. We undertake to let you know promptly as the work progresses if our estimate of time or complexity changes substantially.
Continuity of Staffing
We do our best to ensure continuity of consultants on your project. You accept that there may be rare occasions when we have to substitute a consultant of comparable calibre for a particular session.
Confidentiality
Confidentiality is an ethic at the heart of our assignments. We use our best endeavours to preserve confidentiality on behalf of our clients and are cautious in our management of boundaries when working with a complex organisation. We also ask our clients to think carefully about their responsibilities to safeguard confidential information during an intervention. We undertake to keep confidential any personal or sensitive business data made known to us in the course of our work with you unless we have appropriate consent in writing allowing us to release it. We undertake to comply with Data Protection legislation.
Intellectual Property Rights
We reserve all rights in relation to any proprietary material that our partners or associates may use in the execution of an assignment. Reproduction of such materials, or use of them in any way outside the agreed work without our express written permission, constitutes an infringement of our copyrights. We acknowledge third part copyright.
Professional Supervision
It is customary for mediators and coaches to seek supervision arrangements. In our firm the partners and associates sometimes cross-supervise, subject to conflicts of interest. We believe that such supervision is in your interest and do not regard a supervision discussion to breach confidentiality.
Professional Indemnity Insurance
We have PII cover from Towergate. The sum covered is £2million.
Dispute Resolution
Each of our projects has a designated partner in charge and we ask that you similarly make clear the executive taking responsibility at your end. If at any time you are unhappy with our service, we ask that you contact our designated partner in the first instance. If we cannot resolve the problem together, we agree to mediation of our dispute. Our agreement and conditions are under English law and the exclusive jurisdiction of the English Courts.
Cancellation
In the event that you cancel the work agreed after the agreement is signed and the deposit paid, 50% of the fee (plus disbursements, administration charge and VAT) will remain payable unless the work is more than half completed in which case the whole fee (plus disbursements, administration charge and VAT) will remain payable.
We reserve the right to charge the agreed fee for any sessions cancelled less than 48 hours before they are due to commence.
Payment
We require a deposit at the time you accept our proposal and sign an agreement reflecting these terms.
For shorter assignments, the balance is payable on completion.
For assignments likely to last in excess of 8 weeks, we bill you at the end of each month.
Net terms are 30 days from the date of invoice. We are grateful to you for prompt payment. We charge Bank of England rate + 4% for late payment. We accept payment by direct bank transfer or cheque.
Expenses
We charge at cost expenses and disbursements related to the execution of the project.
If you prefer, you can agree with us in advance a percentage administration charge in lieu of expenses and disbursements.
Value Added Tax
We are registered for VAT. Registration Number 933 4872 06.
